Terms of Service

ReviewReply provides an AI-powered review management platform for independent restaurants, including:

• AI-generated review replies trained on your restaurant's voice, menu, and brand guidelines.
• Review monitoring and flagging for negative, high-risk, or viral-threat reviews.
• Analytics and reputation dashboards.
• Customer recovery tools (where available under your plan).
• Integration with Google Business Profile and other review platforms.

We reserve the right to modify, suspend, or discontinue any feature of the Services at any time with reasonable notice. We will not materially reduce core functionality during a paid subscription term without a prorated refund.

• You must be at least 18 years old and authorized to enter binding contracts to use the Services.
• You must provide accurate and complete registration information and keep it up to date.
• You are responsible for all activity under your account. Keep your credentials secure and notify us immediately of unauthorized access at security@reviewreply.com.
• One account per restaurant location is included in each subscription. Multi-location plans are available.
• We may refuse registration or suspend accounts at our discretion if we have reason to believe Terms are being violated.

You agree not to use the Services to:

• Generate, post, or distribute false, misleading, or defamatory review responses.
• Impersonate any person, business, or entity.
• Violate Google Business Profile Terms of Service or any review platform's policies.
• Attempt to reverse-engineer, scrape, or extract our AI models or proprietary algorithms.
• Introduce malware, viruses, or malicious code into the Services.
• Use the Services for any unlawful purpose or in violation of applicable law.
• Circumvent usage limits, rate limits, or security controls.
• Resell or sublicense the Services without our written consent.

Violation of these terms may result in immediate suspension or termination without refund.

• ReviewReply's AI generates draft replies for your review. You are solely responsible for all content you publish to review platforms. Always review AI-generated content before posting.
• AI replies may occasionally contain inaccuracies. We do not guarantee the accuracy, tone-match, or appropriateness of any generated reply.
• You grant ReviewReply a limited license to process your review data, menu, and brand voice inputs to generate replies on your behalf.
• You retain ownership of all your business content and generated replies.
• ReviewReply will not use your customer review content to train shared AI models without your explicit consent.

The Services integrate with third-party platforms including Google Business Profile, Stripe, and others. Your use of these integrations is also subject to the respective third-party terms. ReviewReply is not responsible for the acts or omissions of third-party services.

Google API Services: ReviewReply's use and transfer of information received from Google APIs to any other app adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our collection and use of data as described in the Privacy Policy.

ReviewReply does not guarantee any specific business outcomes, reputation improvements, or revenue results from using the Services.

You agree to indemnify, defend, and hold harmless ReviewReply, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you publish via the Services.

Either party may terminate these Terms at any time. You may cancel your subscription from your account settings. We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or if continuing to provide the Services becomes commercially infeasible.

Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days post-termination, after which it will be permanently deleted. You may export your data within this window by contacting support.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Before initiating any formal legal action, you agree to contact us at legal@reviewreply.com and attempt to resolve the dispute informally for at least 30 days.

Any disputes not resolved informally shall be resolved through binding arbitration under the JAMS Streamlined Arbitration Rules, on an individual basis. You waive any right to participate in class-action lawsuits or class-wide arbitration.

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice by email and in-app notification. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you disagree with a change, you may cancel your subscription before the effective date.

• Entire agreement: These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and ReviewReply.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
• No waiver: Failure to enforce any provision does not waive our right to enforce it in the future.
• Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure: Neither party is liable for failures caused by circumstances beyond reasonable control.
